Terms Of Service
1. Acceptance of Terms
By engaging with Infocare Technologies Private Limited (“Company”, “we”, “us”, or “our”) for any software development, consulting, or technology services (“Services”), you (“Client”, “you”) agree to be bound by these Terms of Service and any applicable service agreements or project contracts.
2. Scope of Services
Services will be provided as outlined in a mutually agreed statement of work (SOW), contract, or service-level agreement (SLA). Any changes to the scope must be documented and approved by both parties in writing.
3. Fees and Payment
- Invoices are issued based on the agreed billing terms (e.g., licenses, subscriptions, milestone-based, hourly, retainer).
- Payment is due within 30 days of invoice date unless otherwise specified.
- Late payments may incur a service fee of 1.5% per month or the maximum allowed by law.
4. Client Responsibilities
Clients must provide timely access to necessary resources, personnel, and information required to perform the Services. Any delay caused by the Client may affect delivery timelines and incur additional charges.
5. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the term of the engagement. This obligation continues for three (3) years following the termination of services.
6. Intellectual Property
Unless otherwise stated in a written agreement, all custom-developed software, code, and materials are the intellectual property of Infocare Technologies Private Limited. Clients are granted a non-transferable, non-exclusive license to use the deliverables for internal business purposes only.
7. Warranties and Disclaimers
We warrant that services will be performed in a professional and workmanlike manner. We do not warrant that software will be error-free or uninterrupted. Except as expressly provided, all services are provided "as-is" without warranties of any kind.
8. Limitation of Liability
In no event shall Infocare Technologies Private Limited be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the services, even if advised of the possibility of such damages.
9. Termination
Either party may terminate the agreement with 30 days’ written notice. Upon termination, the client agrees to pay for all services rendered and costs incurred up to the termination date.
10. Governing Law
These Terms are governed by the laws of the jurisdiction in which Infocare Technologies Private Limited is registered, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of that jurisdiction.
